IMPORTANT LEGAL NOTICE — PLEASE READ CAREFULLY
By creating an account, accessing, or using GigPulse in any way, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Service.
1. Agreement to Terms
These Terms of Service ("Terms" or "Agreement") constitute a legally binding contract between you ("User," "you," or "your") and GigPulse, a sole proprietorship operating under the laws of British Columbia, Canada ("GigPulse," "Company," "we," "us," or "our"), governing your access to and use of the GigPulse web application, website, and all related services (collectively, the "Service").
By creating an account, clicking "I Agree," accessing, or using the Service in any manner, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into this Agreement
- You have read, understood, and agree to be bound by these Terms and our Privacy Policy
- If using the Service on behalf of a business or organization, you have the authority to bind that entity to these Terms
- You are a resident of Canada or are accessing the Service from within Canada
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.
2. Description of Service
GigPulse is a web-based software application designed to assist Canadian gig economy workers (including but not limited to delivery drivers for platforms such as DoorDash, Uber Eats, Skip The Dishes, Instacart, and similar services) with:
- Tracking income and earnings from multiple gig platforms
- Logging and categorizing business-related expenses
- Providing estimated tax calculations based on Canadian federal and provincial tax rates
- Generating reports and data exports for personal record-keeping
- Providing analytics and insights on earnings and expenses
- Adjustable settings for province-specific tax rates and preferences

GIGPULSE IS A RECORD-KEEPING AND ESTIMATION TOOL ONLY. THE SERVICE DOES NOT PROVIDE, AND SHALL NOT BE CONSTRUED AS PROVIDING, PROFESSIONAL TAX, ACCOUNTING, FINANCIAL, OR LEGAL ADVICE OF ANY KIND.
All tax calculations, estimates, deduction suggestions, and financial information provided by the Service are for informational and illustrative purposes only. These calculations are based on general assumptions and may not reflect your actual tax obligations.
YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL INFORMATION AND CONSULTING WITH A QUALIFIED, LICENSED ACCOUNTANT, TAX PROFESSIONAL, OR LEGAL ADVISOR BEFORE MAKING ANY FINANCIAL OR TAX-RELATED DECISIONS OR FILING ANY TAX RETURNS.
We expressly disclaim any liability for decisions made or actions taken based on information provided by the Service.
3. User Responsibilities and Obligations
3.1 Account Responsibilities
You agree to:
- Provide accurate, current, and complete information when creating your account and keep it updated
- Maintain the security and confidentiality of your login credentials
- Accept full responsibility for all activities that occur under your account
- Immediately notify us of any unauthorized use of your account or any other security breach
- Not share your account credentials with any third party
- Use the Service only for lawful purposes and in compliance with all applicable Canadian federal and provincial laws
3.2 Data Accuracy
You acknowledge and agree that you are solely responsible for the accuracy, completeness, and legality of all data, information, and content you input into the Service. GigPulse does not verify the accuracy of user-provided data and shall not be liable for any errors, omissions, or inaccuracies in your data.
3.3 Prohibited Activities
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to the Service, other user accounts, or our systems
- Interfere with, disrupt, or overburden the Service or its infrastructure
- Use automated tools, bots, scrapers, or other means to access the Service
- Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Service
- Upload, transmit, or distribute any malicious code, viruses, or harmful content
- Impersonate any person or entity or misrepresent your affiliation
- Use the Service to commit tax fraud, evade taxes, or engage in any illegal financial activity
- Circumvent, disable, or interfere with any security features of the Service
- Resell, sublicense, or commercially exploit the Service without our written consent
4. Subscription, Payment, and Billing
4.1 Subscription Plans
GigPulse offers the following:
- Free Trial: 14-day free trial period with access to core features (limited to 75 orders)
- Pro Plan: $12.99 CAD per month, billed monthly, with unlimited orders and expenses, tax package export, and all premium features
4.2 Payment Processing
All payments are processed securely through Stripe, Inc., a third-party payment processor. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis. You agree to Stripe's terms of service and privacy policy.
4.3 Automatic Renewal
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for canceling your subscription if you do not wish to be charged for the next billing period.
4.4 Cancellation
You may cancel your subscription at any time through Settings → Account → Cancel Subscription. Cancellation will take effect at the end of the current billing period, and you will retain access until that date.
4.5 Refunds
Refunds are provided in accordance with our Refund Policy. In general, we offer refunds for one (1) month of subscription fees only, minus any applicable payment processing fees. No refunds are provided for partial months or for periods beyond the most recent billing cycle.
4.6 Price Changes
We reserve the right to modify subscription prices at any time. Any price changes will be communicated to you via email at least 30 days before taking effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.
4.7 Taxes
Subscription fees are exclusive of any applicable taxes (including GST, HST, PST, or QST). You are responsible for paying any applicable taxes on your subscription.
5. Third-Party Services and Disclaimers
5.1 Third-Party Service Providers
The Service relies on third-party service providers to operate, including but not limited to:
- Supabase: Database hosting, user authentication, and data storage
- Stripe: Payment processing and subscription billing
- Vercel: Web application hosting and deployment
- Formspree: Form submission handling
THIRD-PARTY SERVICE DISCLAIMER
GIGPULSE IS NOT RESPONSIBLE FOR, AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY ARISING FROM, THE ACTS, OMISSIONS, FAILURES, ERRORS, OUTAGES, DATA LOSS, SECURITY BREACHES, OR MISCONDUCT OF ANY THIRD-PARTY SERVICE PROVIDERS.
You acknowledge that the availability, performance, and security of the Service depend on third-party providers over which we have no control. We do not guarantee that third-party services will be available, uninterrupted, secure, or error-free.
5.2 No Affiliation
GigPulse is not affiliated with, endorsed by, or sponsored by DoorDash, Uber, Uber Eats, Skip The Dishes, Instacart, or any other gig economy platform. All trademarks and brand names are the property of their respective owners.
5.3 CRA Disclaimer
GigPulse is not affiliated with, endorsed by, or approved by the Canada Revenue Agency (CRA) or any government agency. Tax calculations and estimates are not guaranteed to be accurate or compliant with CRA requirements.
6. Intellectual Property Rights
6.1 Our Intellectual Property
The Service, including all content, features, functionality, software, code, design, graphics, logos, and trademarks, is owned by GigPulse and protected by Canadian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
6.2 Your Content
You retain ownership of all data and content you input into the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, process, and store your content solely for the purpose of providing and improving the Service.
6.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to compensate you.
7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIGPULSE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF TAX CALCULATIONS, ESTIMATES, OR ANY OTHER INFORMATION PROVIDED BY THE SERVICE
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
- WARRANTIES REGARDING THE AVAILABILITY, PERFORMANCE, OR RELIABILITY OF THIRD-PARTY SERVICES
- WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED
YOU USE THE SERVICE AT YOUR OWN RISK. WE DO NOT GUARANTEE THAT THE SERVICE WILL RESULT IN TAX SAVINGS, CRA COMPLIANCE, OR ANY PARTICULAR OUTCOME.
8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, IN NO EVENT SHALL GIGPULSE, ITS OWNER, OPERATORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, INCOME, BUSINESS, SAVINGS, OR ANTICIPATED BENEFITS
- LOSS OF DATA, GOODWILL, OR REPUTATION
- COST OF PROCUREMENT OF SUBSTITUTE SERVICES
- ERRORS, INACCURACIES, OR OMISSIONS IN TAX CALCULATIONS OR ESTIMATES
- CRA AUDITS, ASSESSMENTS, REASSESSMENTS, PENALTIES, INTEREST CHARGES, OR FINES
- FAILED OR INCORRECT TAX FILINGS
- SERVICE INTERRUPTIONS, OUTAGES, DOWNTIME, OR DATA LOSS
- THIRD-PARTY SERVICE FAILURES, INCLUDING SUPABASE, STRIPE, OR VERCEL OUTAGES
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- ANY DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
THESE LIMITATIONS APPLY WHETHER THE DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO GIGPULSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED FIFTY-FIVE CANADIAN DOLLARS ($155.88 CAD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS GIGPULSE
You agree to defend, indemnify, and hold harmless GigPulse, its owner, operators, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any third-party rights, including intellectual property rights
- Any content or data you submit to the Service
- Any tax-related claims, audits, penalties, or liabilities arising from your use of the Service
- Any dispute between you and the CRA or any tax authority
- Your negligence or willful misconduct
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.
10. Dispute Resolution and Arbitration
10.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at heinrichstyler993@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.
10.2 Binding Arbitration
If we are unable to resolve a dispute informally, you and GigPulse agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the British Columbia International Commercial Arbitration Centre (BCICAC) in accordance with its rules. The arbitration shall be conducted in Vancouver, British Columbia, Canada, in the English language.
10.3 Class Action Waiver
YOU AND GIGPULSE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
10.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
11. Termination
11.1 Termination by You
You may terminate your account at any time by canceling your subscription through Settings → Account → Cancel Subscription. Upon cancellation, you will retain access until the end of your current billing period.
11.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended periods of inactivity
- Upon request by law enforcement or government agencies
- Discontinuation of the Service
11.3 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. We strongly recommend exporting your data before termination. We are not obligated to retain, store, or provide access to your data after account termination.
11.4 Survival
The following sections shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
12. Force Majeure
GigPulse shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, pandemics, epidemics, government actions, power failures, internet or telecommunications failures, third-party service outages (including Supabase, Stripe, or Vercel), cyberattacks, or any other force majeure event.
13. Changes to Terms
We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. If we make material changes, we will notify you via email to the address associated with your account at least thirty (30) days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
We encourage you to review these Terms periodically for any updates.
14. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to the arbitration provisions above, you agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, Canada, for the resolution of any disputes not subject to arbitration.
You waive any objection to venue in these courts and agree not to claim that such courts are an inconvenient forum.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and GigPulse regarding the Service and supersede all prior agreements, understandings, and communications.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of GigPulse.
15.4 Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
15.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. Nothing in these Terms shall be construed to create any partnership, joint venture, agency, or employment relationship between you and GigPulse.
15.6 Notices
We may provide notices to you via email to the address associated with your account or by posting notices within the Service. You agree that electronic notices satisfy any legal requirement for written notices.
